Terms of Service.
This document governs the relationship between you (The Client) and AI Automation Services Agency. It covers liability, payment terms, and the specific risks associated with AI deployment.
1. Scope of Services
AI Automation Services Agency ("We", "Us") agrees to provide the services described in the specific Statement of Work (SOW) signed by the client. Services may include:
- Development: Building Custom AI Agents, Chatbots, and Voice Bots.
- Automation: Connecting APIs (Zapier/Make) to streamline workflows.
- Consulting: AI feasibility audits and architectural planning.
Any feature requests outside the signed SOW will be billed separately at our standard hourly rate ($150/hr).
2. Intellectual Property Rights
We believe in fair ownership separation:

3. AI Disclaimer (Important)
Artificial Intelligence (LLMs) is a probabilistic technology, not a deterministic one. By using our services, you acknowledge that:
AI models may occasionally produce "hallucinations" (incorrect facts) or biased content. We are not liable for business losses resulting from decisions made solely based on unverified AI outputs.
We recommend implementing a "Human-in-the-Loop" review process for critical workflows (e.g., financial transfers, legal advice generation).
4. Payment Terms
Unless otherwise stated in the invoice:
- Project-Based: 50% Deposit upfront to book resources, 25% upon Beta Delivery, 25% upon Final Handover.
- Retainers: Monthly maintenance fees are due on the 1st of every month.
- Late Fees: Invoices overdue by 14 days will incur a 5% late fee compounded monthly. work may be paused until payment is cleared.
5. Confidentiality (NDA)
We adhere to strict Non-Disclosure standards:
- We will not share your business logic, revenue data, or customer lists with third parties.
- We may use generic, anonymized case studies of the project for our portfolio unless you explicitly request a "White Label" agreement.
6. Termination
Either party may terminate the agreement with 30 days written notice via email.
If the Client terminates mid-project, the Client is liable to pay for all hours worked and costs incurred (API tokens, server costs) up to the termination date. Deposits are non-refundable.
7. Limitation of Liability
To the maximum extent permitted by law, AI Automation Services Agency shall not be liable for indirect, incidental, or consequential damages (including lost profits or data corruption).
Our total cumulative liability shall not exceed the total amount paid by the Client in the 3 months preceding the claim.
8. Governing Law
This Agreement shall be governed by the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of the courts in Jaipur, Rajasthan.
